General Terms & Conditions for BIOBUILDS

I. Information About the Seller

II. Definitions

  • Seller: BIOBUILDS HOME S.R.L.
  • Buyer: The natural or legal person who purchases the Product.
  • Product: The MODULAR prefabricated module, manufactured and sold by the Seller.
  • Degree of Finishing: The level of interior and exterior finishing, ranging from basic structure to fully finished and equipped.
  • Contract: The agreement between Seller and Buyer, comprising the Product Configuration, Final Invoice, and these General Terms & Conditions.
  • Additional Works: Construction, installation, or finishing works not included in the Product price.
  • Force Majeure: An external, unforeseeable, invincible, and unavoidable event.
  • Order Date: The date on which the Buyer accepts the offer and makes the advance payment.
  • Order Price: The total price of the Product as configured by the Buyer, in EUR, excluding VAT.

III. Object of the Contract

The object of the Contract is the sale of the Product according to the specifications, degree of finishing, and options selected by the Buyer. Subsequent modifications require written consent from both parties.

The Contract Documentation comprises: Product Configuration, Final Invoice, and these General Terms & Conditions. The Seller reserves the right to update and improve the Product without prior notice, provided that such changes do not materially alter the agreed specifications.

IV. Ordering Process

Placing an Order: By accepting the offer and making the advance payment. The Order is confirmed by the Seller within 2 working days.

Order Modifications: Modifications after order confirmation may affect the price and delivery time.

V. Price and Payment Conditions

The Product Price is in EUR, excluding VAT. Payment is made as advance or according to an agreed schedule via bank transfer or other agreed methods.

Non-Payment: In case of non-payment, the Seller may suspend or terminate the Contract after a 15-day notice.

Price Adjustment: If material or labor costs increase by more than 5%, the Seller reserves the right to adjust the price accordingly.

Reservation of Ownership: The Product remains the property of the Seller until full payment is received.

Payment Schedule: Reservation: 10%. Order: 40%. Production: 40%. Delivery: 10%.

VI. Delivery of the Product

Conditions: EXW (Ex Works) at the Seller's premises (Incoterms 2020). The Seller will notify the Buyer at least 14 working days before the estimated delivery date.

Transfer of Risks: Upon loading at the Seller's premises or upon delivery signing.

Buyer's Obligations: Transport preparation, location preparation, access, safety, authorizations, additional works, and local compliance.

Delays on Buyer's Part: Storage fees may apply. Termination after 30 days with the Seller retaining 30% of the order value.

Delays on Seller's Part: Notification with new date. The Buyer has the right to terminate after 30 days of delay.

Product Acceptance: The Buyer must inspect the Product within 5 days of delivery and report any defects.

VII. Obligations of the Parties

Seller's Obligations

  • Production and delivery of the Product.
  • Provision of documentation and instructions.
  • Warranty as defined in Section VIII.
  • Communication regarding order status and delivery.

Buyer's Obligations

  • Payment according to the agreed schedule.
  • Preparation for delivery (site, access, utilities).
  • Use of the Product according to instructions, no unauthorized modifications.
  • Obtaining all necessary authorizations and compliance with local regulations.
  • Confidentiality regarding commercial and technical information.
  • Ensuring qualified personnel for any additional works.
  • Notification of any modifications.

VIII. Warranties and Liability

Conformity Warranty: 24 months from delivery for individual customers. 12 months for commercial use. Covers components and workmanship up to the delivery point.

Limitations of Warranty: The warranty does not cover: improper use, unauthorized modifications, damage caused by external factors, normal wear and tear, defects in additional works performed by third parties, or use of inferior materials not supplied by the Seller.

Complaint Procedure: Written notification within 5 working days with documentation (photos, description). The Seller has the right to inspect within 5 working days.

Limitation of Liability: Total liability is limited to the contract value.

Minor Aesthetic Defects: Natural material variations (wood deformations, dimensional variations within tolerance) are not covered by the warranty.

Costs for Unfounded Claims: Travel (1.5 EUR/km), Inspection (75 EUR/hour), Accommodation costs.

IX. Intellectual Property and Confidentiality

The Seller owns all intellectual property rights related to the Product, including design, specifications, and documentation. The Buyer cannot use the Seller's trademarks without written consent. The Seller may photograph the Product for promotional purposes.

X. Protection of Personal Data

The Seller processes personal data in compliance with GDPR for the purposes of contract execution, commercial communication, and legal obligations. The Buyer has the right to access, rectify, erase, restrict, and port their personal data. The Privacy Policy is available on the website and forms an integral part of the Contract.

XI. Force Majeure

Neither party is liable for non-performance caused by force majeure events. The affected party must notify the other within 5 calendar days with evidence. If the force majeure event lasts more than 60 days, either party may terminate the Contract.

XII. Termination of the Contract

The Contract may be terminated by default after a 15-day notice for breach of essential obligations. Upon termination, the Seller retains amounts paid and may claim additional compensation for damages.

XIII. Applicable Law and Dispute Resolution

The Contract is governed by Romanian law. Disputes shall be resolved amicably first, then by the competent Romanian courts at the Seller's location.

XIV. Final Provisions

  • The Contract together with annexes constitutes the complete agreement.
  • Amendments must be in writing and signed by both parties.
  • The Buyer cannot assign the Contract without the Seller's written consent.
  • Notices are valid if sent in writing (email, fax, courier, registered mail).
  • If any clause is found invalid, the remaining clauses remain in force.
  • The English version of these terms prevails in case of translation discrepancies.
  • The Seller reserves the right to modify these terms with 30-day notice.
